Constitution of the World Association of Young Scientists


Chapter1:General Provisions

Article1:The organization is named the World Association of Young Scientists, abbreviated as WAYS.

Article2:WAYS is an international, academic, and non-profit organization voluntarily formed by international or regional youth scientific organizations, higher education institutions, and research institutions.

Article3:The mission of WAYS are to establish a platform for global young scientists to exchange ideas and learn from each other, to build consensus on the positive role of science and technology, and to promote sustainable development through scientific and technological innovation, and to contribute the wisdom and power of young scientists to the achievement of the United Nations Sustainable Development Goals and to the building of a community with a shared future for mankind.

WAYS abides by the constitution, laws, regulations, and national policies of the country in which it is registered, as well as social morals and ethics.

Article4:WAYS shall be under the operational guidance and supervision of the China Association for Science and Technology (Supervisory Authority), and the Ministry of Civil Affairs of the People’s Republic of China (Registration Authority).

Article5:The registered location of WAYS is in Beijing, China.

Chapter2:Scope of Activities

Article6:The scope of activities of WAYS is as follows:

(1)To organize activities such as the World Young Scientist Summit and exchange visits among international young scientists, and establish a platform for communication and cooperation among young scientists worldwide;

(2)To support young scientists in their exploration and research in scientific and technological innovation for sustainable development;

(3)To conduct promotional and popularization activities related to scientific and technological innovation for sustainable development;

(4)To facilitate exchange activities with scientific and technological organizations domestically and internationally;

(5)To engage in other business activities that promote exchange and cooperation among young scientists.

Chapter3:Membership

Article7:Membership of WAYS is open to institutional members.

Article8:Applicants for membership must:

(1)Endorse WAYS' Constitution;

(2)Demonstrate a willingness to join;

(3)Be influential within their region or field;

(4)Be a youth organization, or have a youth division within the organization, or have a certain influence in connecting and serving young science and technology workers.

Article9:Membership application procedure:

(1)Submit a membership application form;

(2)Obtain approval from the Council;

(3)Receive a membership certificate from the Council or an authorized body.

Article10:Members shall have the right to:

(1)Elect, be elected, and vote, and participate in the discussions of significant decisions and matters affecting the development of WAYS;

(2)Participate in activities organized by WAYS;

(3)Receive priority access to the services provided by WAYS;

(4)Make suggestions on, and supervise the development of, the activities organized, and the projects implemented by WAYS;

(5)Join and withdraw from WAYS voluntarily.

Article11:Members are obliged to:

(1)Abide by the WAYS’ Constitution and execute its resolutions;

(2)Protect WAYS' legal rights and interests;

(3)Complete the tasks assigned by WAYS;

(4)Pay membership fees as stipulated;

(5)Disclose relevant information and documentation to WAYS.

Article12:A member intending to withdraw must submit a written resignation to the Council and return its membership certificate. Members who do not pay membership fees or participate in WAYS activities for over one year are considered to have automatically withdrawn.

Article13:Members who seriously violate the Constitution may be expelled by a vote of the Council.

Chapter4:Organizational Structure and Appointment and Removal of Officers

Article14:The General Assembly as the supreme authority of WAYS, shall have the following functions and powers:

(1)Formulate and amend the Constitution

(2)Elect and remove Council members;

(3)Review the work reports and financial reports of the Council;

(4)Establish and amend membership fees;

(5)Decide on dissolution matters;

(6)Decide on other significant matters.

Article15:The General Assembly can only be convened if at least 2/3 of its members are present, and its resolutions are effective only if approved by more than half of the attending members.

Article16:The General Assembly is held every five years.

Article17:The Council is the executive body of the General Assembly, with a term of five years. It directs the daily work of WAYS when General Assembly is not in session, and is accountable to the General Assembly.

Article18:The functions and powers of the Council include:

(1)Executing General Assembly resolutions;

(2)Electing and removing the Chairperson, the Vice-Chairperson, and the Secretary-General;

(3)Preparing for the General Assembly;

(4)Reporting on work progress and financial status to the General Assembly;

(5)Deciding on membership admission and removal;

(6)Determining the establishment, modification, or deregistration of executive bodies, branches, representative offices, and entities;

(7)Appointing Vice Secretaries-General and heads of institutions;

(8)Directing the work carried out by all institutions;

(9)Formulating internal management regulations;

(10)Deciding on other significant matters.

Article19:The Council can only be convened if at least 2/3 of its members are present, and its resolutions are effective only if approved by more than 2/3 of the attending Council members.

Article20:The Council shall meet at least once a year. In exceptional circumstances, meetings may be held by telecommunication means.

Article21:The Chairperson, the Vice-Chairperson and the Secretary-General of WAYS must meet the following criteria:

(1)The Chairperson and the Vice-Chairperson shall have made significant progress or contributions in science and technology, and shall have recognized academic status and international influence. They should actively embody the spirit of the scientist and maintain a high standard of academic integrity.

(2)The Chairperson, the Vice-Chairperson and the Secretary-General must have excellent organizational and leadership skills, an extensive cross-disciplinary network, and rich experience in international interactions. They shall have a passion for public affairs and a commitment to devote their energies to the development of WAYS.

(3)The Chairperson, the Vice-Chairperson, and the Secretary-General shall not be over 50 years of age at the time of their election. The Secretary-General is shall serve in a full-time capacity.

(4)They should be in good health and capable of normal duties.

(5)They must not have been subject to any criminal penalties that involve the deprivation of political rights.

(6)They must have full civil capacity.

Article22:The term for the Chairperson, the Vice-Chairperson, and the Secretary-General of WAYS is five years. The Chairperson is ineligible for re-election. The Vice-Chairperson and the Secretary-General are eligible for re-election for one additional term only.

If the term of office needs to be extended due to special circumstances, it must be approved by two-thirds of the members at the General Assembly, reported to the Supervisory Authority for review, and approved by the Registration Authority before they continue to assume.

Article23:If the Chairperson, the Vice-Chairperson, and the Secretary-General of WAYS are above the maximum age at the time of election, they shall take office only after being approved by the Council vote, reported to the Supervisory Authority for review, and approved by the Registration Authority.

Article24:The legal representative of WAYS shall be one of the Chairperson, the Vice-Chairperson, and the Secretary-General.

The legal representative is authorized to sign pertinent documents on behalf of WAYS.

The legal representative of WAYS may not concurrently serve as the legal representative of any other association.

Article25:The functions and powers of the Chairperson of WAYS include:

(1)Convening and presiding over the Council meetings;

(2)Overseeing the implementation of the resolutions of the General Assembly and the Council.

Article26:The functions and powers of the Secretary-General include:

(1)Presiding over the routine work of the executive bodies and the implementation of the annual work plan;

(2)Coordinating the work of branches, representative offices, and entities of WAYS;

(3)Nominating candidates for Vice Secretaries-General and heads of institutions for the decision by the Council;

(4)Proposing appointments of full-time functionaries for executive bodies, representative offices, and entities of WAYS for the decision by the Council;

(5)Handling other routine affairs.

Chapter5:Principles of Asset Management and Usage

Article27:Funding sources of WAYS include:

(1)Membership fees;

(2)Donations;

(3)Government grants;

(4)Income from approved activities and services;

(5)Interest;

(6)Other legitimate income.

Article28:WAYS collects membership fees in accordance with the regulations of the country of registration, with the specific standards and management methods to be separately stipulated.

Article29:WAYS’ funds must be used exclusively for the activities and development of the causes set forth in the Constitution and must not be distributed among members.

Article30:WAYS shall establish a rigorous financial management system to ensure the legality, authenticity, accuracy, and completeness of financial records.

Article31:WAYS shall employ accountants with professional qualifications. The accountants shall not serve as cashiers simultaneously. Accountants must conduct accounting treatment and implement accounting supervision. Upon roles transfer or resignation, accountants must complete the handover procedures with their designated successors.

Article32:The management of the assets of WAYS must comply with the financial management systems of the country of registration and be supervised by the General Assembly and Financial Authorities. When assets are derived from national allocations, social donations, or grants, they must be subject to the supervision of the Auditing Authority. In such cases, WAYS must disclose relevant financial information to the public in a clear and accessible manner.

Article33:WAYS shall conduct a financial audit before the renewal of its session or the replacement of its legal representative.

Article34:The assets of WAYS shall not be misappropriated, privately distributed, or diverted by any entity or individual.

Chapter6:Constitution Amendment Procedures

Article35:Amendments to the Constitution of WAYS must be voted on and approved by the Council before being submitted to the General Assembly for review.

Article36:The amended Constitution shall, within 15 days of the review and adoption by the General Assembly, become effective upon examination by the Supervisory Authority and approval by the Registration Authority.

Chapter7:Termination Procedures and Disposal of Assets After Termination

Article37:The motion to terminate WAYS shall be proposed by the Council upon completion of its mission, self-dissolution, or deregistration for reasons such as split and merger.

Article38:The motion to terminate WAYS must be approved by the General Assembly and reported to the Supervisory Authority for examination.

Article39:Prior to the termination, a liquidation organization shall be established under the guidance of the Supervisory Authority and relevant authorities to settle debts and liabilities and handle the subsequent affairs. No activities other than liquidation shall be conducted during the liquidation process.

Article40:WAYS shall be officially terminated upon completion of the deregistration procedures with the Registration Authority.

Article41:The remaining assets of WAYS after liquidation may not be misappropriated or privately divided by any person. They shall be used for purposes consistent with the mission of WAYS under the supervision of the Supervisory Authority and the Registration Authority and in accordance with the relevant regulations of the country of registration.

Chapter8:Supplementary Provisions

Article42:This Constitution is adopted by a vote at the ____meeting of the General Assembly on xx/xx/xxxx.

Article43:The Council of WAYS holds the right to interpret this Constitution.

Article44:This Constitution shall take effect on the date of approval by the Registration Authority.
